Manager, Legal Services, Corporate Finance and Governance

Overview

• The Corporate Law Team is responsible for, among other things, legal support to the company and the Board of Directors on corporate governance and securities matters (including advising on disclosure issues and compliance with securities law and other public company obligations).

• The person in this role will report to an experienced attorney and be part of a small team of governance professionals supporting governance, public company reporting and general corporate matters.

• The role includes legal research and benchmarking of securities and governance issues, drafting SEC filings, memos and other legal documents, assisting the team on key projects and periodic tasks, coordinating with vendors, updating the IR page on the website and maintaining key files, spreadsheets and databases.

• The role will also provide broader support for the Corporate Law team in its representation of Global Finance, including drafting template agreements, legal research and database support.

Role

• Assist with preparation and filing of Section 16 reports (including wDesk), Form 8-Ks, 10-K, 10-Qs, NYSE affirmations and proxy statement (including vendor coordination and annual meeting activities)

• Assist with coordination and execution of board meetings including meeting logistics and distribution of materials through electronic distribution portal

• Draft meeting minutes, written consents, Secretary certificates, and powers of attorney

• Maintain composition of Board of directors, authorized signatories, and corporate books and records

• Update governance and other relevant information on NYSE site and external company website

• Prepare Access Employee list and trading window notices under our Insider Trading Policy, and prepare, distribute and track various certifications

• Maintain corporate calendar on outlook, stock ownership spreadsheets and other team files relating to filings, investor correspondence (including shareholder proposals) and other routine public company activities (including owning various database processes)

• Benchmark securities and governance issues (using Intelligize, blogs, law firm memos)

• Assist Corporate Law team members on drafting template agreements, documents and legal research on matters in the team’s support of Global Finance

All About You

• Experience with legal research, analysis and drafting legal documents, including in corporate law matters.

• Experience with technology and databases related to corporate governance and SEC filings is important, Word, Excel and PowerPoint.

• Strong organizational skills and attention to detail

• Ability to build relationships a key - excellent people skills, a sense of humor and communication skills a must.

• Must be resourceful: have the ability to analyze what is needed, learn how to find the information requested and respond promptly.

• Experience creating and maintaining Access databases.
